1. Purpose
As part of its main business activity, LPSIMU (referred to as “we”, “us” or “our”) offers for sale and rental racing simulators, racing simulator components and related accessories (referred to as “our products”).
We operate an e-commerce website through which you can order our products: lpsimu.fr (referred to as “our website”).
These General Terms and Conditions of Sale (referred to as “our Terms and Conditions of Sale”) define the conditions under which you may order and purchase our products. If you wish to rent our products, our General Terms and Conditions of Rental shall apply.
2. Scope
Our Terms and Conditions of Sale apply between you and us whenever you wish to purchase one of our products.
Our Terms and Conditions of Sale prevail over any other document or agreement entered into prior to the conclusion of the contract, even if we have previously communicated orally or in writing.
Please read this document carefully. In order to order our products, you must read our Terms and Conditions of Sale and accept them without reservation, meaning without modification, addition or deletion.
Our Terms and Conditions of Sale set out the entirety of our respective obligations, both yours and ours. This means that you may not rely on your own general terms and conditions of purchase or any other document, even if we have previously communicated orally or in writing.
3. Amendments
We may amend our Terms and Conditions of Sale at any time. You will be informed of any changes by an announcement on our website. The latest version of our Terms and Conditions of Sale applies as soon as it is published on our website and replaces any previous version. Your order remains subject to the version that was applicable when you placed your order.
4. Ordering Process
4.1. General provisions
In order to purchase our products, you must have full legal capacity to do so, meaning that you must have the authority to enter into a contract and assume legal responsibility. If you represent a company, you must have the authority to bind that company.
You must provide us with accurate and complete information about yourself, update it if it changes and correct it promptly if you identify any errors. We reserve the right to request supporting documentation from you at any time.
Consumers have the right to register on the French telephone marketing opt-out list (Bloctel: bloctel.gouv.fr).
4.2. On our website
To place an order on our website, follow these steps:
- select the desired product on our website;
- enter your contact details or, if you have a customer account, log in to your account;
- confirm your order after checking it carefully – please note that confirming your order creates an obligation to pay;
- make the payment (see Article 7.1 “Orders placed on our website”).
You will receive a confirmation email from us, which forms the sales contract between you and us.
5. Product Availability
Our products are sold subject to availability.
We will inform you of the availability of our products when your order is confirmed.
If a product you have ordered subsequently proves to be unavailable, you will be informed by email as soon as possible and we will offer you the option of cancelling the order. If we do not receive your instructions, your order will not be treated as automatically cancelled. We will contact you again to agree on the next step.
If you order several products and one of them is unavailable, you will be informed by email as soon as possible. You may either confirm the remainder of your order, in which case you will be refunded the price of the unavailable product, or cancel your order, in which case all amounts paid will be refunded. We will not dispatch a modified order without your agreement. We will contact you again to agree on the next step.
In the event of cancellation, we will refund the amounts paid within the period required by law and, where Article L. 216-7 of the French Consumer Code applies, no later than fourteen (14) days after the contract is terminated.
6. Custom-Built Simulators
We also offer custom-built simulators for sale, which are manufactured exclusively to order. Any order for a custom-built simulator must be placed by telephone or email.
A form will be sent to you to determine the specifications of the custom-built simulator you require, as well as the logistical arrangements for delivery. Once you have completed and returned this form, we will prepare a quotation, which you are free to accept or refuse (see Article 7.2 “Ordering a custom-built simulator”).
7. Prices and Payment Terms
7.1. Orders placed on our website
The prices of our products are displayed on our website in euros, excluding VAT and including VAT at the applicable rate. If the applicable VAT rate changes, the amended rate will automatically apply. Prices may vary over time, particularly during promotional campaigns (discounts and sales). Your order will be invoiced based on the prices applicable at the time the order is confirmed.
The price of our products does not include delivery charges, any customs duties and import taxes for which you may be liable, or telecommunications costs required to access and use our website. Depending on the destination of the package, you may be required to pay additional customs duties. You are responsible for obtaining information about any such charges and paying them directly to the relevant authorities.
You must pay the full amount of your order when confirming it. If you fail to do so, we will consider that you have cancelled your order. No product will be delivered until the price has been paid in full.
You may pay for your purchase by bank card (American Express, Mastercard and VISA), Apple Pay or PayPal.
Payments made on our website are managed by our payment service provider, SHOPIFY PAYMENTS, which is responsible for the storage and automated processing of bank details in a secure environment.
7.2. Ordering a custom-built simulator
The prices applicable to an order for a simulator are those stated in the quotation. Prices are stated in euros, excluding VAT and including VAT at the applicable rate. If the applicable VAT rate changes, the amended rate will automatically apply.
The validity period is stated on each quotation. Once that period has expired, we may issue a new quotation. You are free to accept or refuse the quotation. Acceptance of the quotation creates an obligation to pay.
If you accept the quotation, you must pay a deposit equal to 50% (FIFTY PERCENT) of the total price including VAT of the order, by the due date stated in the accepted quotation or deposit invoice. This deposit is binding on both you and us. No order will be processed until the deposit has been paid in full.
You must pay the remaining balance of the order no later than the scheduled delivery date.
You may pay for your custom-built simulator order by bank transfer only.
We retain ownership of our custom-built simulators until the total amount of the order has been paid in full.
7.3. Late payment
IF YOU ARE A BUSINESS CUSTOMER: In the event of late payment, you will automatically be liable for a fixed recovery fee of €40.00 (FORTY EUROS), in accordance with Articles L. 441-10 and D. 441-5 of the French Commercial Code. If the recovery costs incurred exceed this amount, we reserve the right to claim additional compensation.
8. Delivery
8.1. Delivery address
For orders placed on our website, delivery is available only within the following territories: Member States of the European Union (excluding overseas territories).
For delivery requests outside these territories, please contact us by email beforehand to obtain information about the applicable delivery arrangements.
You must provide an accurate and complete delivery address. If a package is returned to us due to an error in the delivery address for which you are responsible, you will be required to pay all costs associated with resending the package. We cannot be held liable for failure to deliver or delays in delivery in such circumstances.
8.2. Orders containing bulky items
When ordering a bulky item, certain delivery restrictions may apply. Please ensure that you correctly complete the delivery form when placing your order.
Your presence, or that of a third party designated by you, is required on the day of delivery. If no one is present at the agreed delivery location on the agreed delivery date, delivery cannot be completed. A new delivery will need to be arranged and the additional delivery costs will be entirely at your expense.
8.3. Delivery charges
Delivery charges vary depending on the delivery address, selected delivery method, type and number of products ordered, and do not include any customs duties, import taxes or applicable local taxes for which you may be liable.
You are solely responsible for all delivery charges.
Delivery charges may vary over time depending on the rates applied by carriers. You will be informed of the amount of these charges before being asked to confirm your order. For custom-built simulator orders, these charges will be specified in the quotation.
8.4. Delivery times
Delivery times stated on our website are expressed in business days (meaning every day of the week except Saturdays, Sundays and public holidays or non-working days) and begin once full payment has been received for products purchased on our website, or once the deposit has been paid in full for custom-built simulators.
You will be informed of the delivery times before being asked to confirm your order. For custom-built simulators, the delivery time includes the manufacturing and assembly period.
For products purchased on our website (excluding pre-assembled simulators), you will be notified by email as soon as your order has been dispatched.
For our simulators (both pre-assembled and custom-built), we will contact you in advance to arrange delivery.
8.5. Delivery claims
IF YOU ARE A CONSUMER: Risk transfers when the order is handed over at the delivery address you provided. Where possible, please inspect the package on receipt and tell us promptly about any damage or missing item so that we can assist you and contact the carrier. This request does not limit your statutory rights, including any applicable legal guarantees.
IF YOU ARE A BUSINESS CUSTOMER: Transport is carried out at your own risk, with risk transferring as soon as we hand the product over to the carrier and the carrier accepts it without reservation. In the event of a delivery delay, you are responsible for submitting your claim directly to the carrier. You must inspect the condition of the product upon delivery and, where necessary, make written reservations and exercise any appropriate remedies against the carrier within the required time limits, in accordance with Articles L. 133-3 et seq. of the French Commercial Code.
9. Right of Withdrawal
THIS ARTICLE APPLIES ONLY IF YOU ARE A CONSUMER.
For any contract concluded at a distance, meaning through our website, or off-premises, you have the right to withdraw from the contract without having to provide a reason.
You must notify us within fourteen (14) calendar days (meaning every day of the week, including Saturdays, Sundays and public holidays or non-working days) starting from the day after delivery of the product.
If the final day of the period falls on a Saturday, Sunday, public holiday or non-working day, you may still exercise your right of withdrawal until the next working day (meaning every day of the week except Sundays and public holidays).
Once this period has expired, you may no longer exercise your right of withdrawal from the contract.
You must inform us of your decision to withdraw in a clear and unambiguous manner, by post or by email to contact@lpsimu.fr. You may use the model withdrawal form provided at the end of this document, but this is not mandatory.
For the return of products purchased on our website (excluding pre-assembled simulators), you will receive a return label to use when returning the product. If you do not use this label, the return shipping costs will be entirely at your expense. Please ensure that you use suitable packaging to prevent the product from being damaged during transport.
For the return of fully assembled simulators, we will contact you to arrange a date for collection of the product. In this case, the return will be organised by us, but the return costs remain your responsibility. The amount of the return costs will be equal to the amount you paid for the original delivery.
Products must be returned in their original condition, complete with all accessories and instructions, so that they can be resold.
If you exercise your right of withdrawal, we will refund the amounts you have paid no later than fourteen (14) calendar days from notification of your withdrawal. We may defer the refund until the goods have been recovered. The refund will be made using the same payment method that you used to pay for the order, unless otherwise agreed.
If we determine that you have used the product beyond what is necessary to establish its nature, characteristics and proper functioning, you may be held liable for any resulting reduction in value.
In the event of a partial return of an order, you will be refunded the delivery charges proportionally to the total amount of the order. In the event of a complete return of an order, you will be refunded the full amount of the delivery charges. If you selected a delivery method that was more expensive than the standard delivery method offered, we will not refund the additional delivery costs.
The right of withdrawal cannot be exercised for custom-built simulators, as these are goods made to the consumer's specifications (Article L. 221-28, 3° of the French Consumer Code).
10. Statutory Warranties
THIS ARTICLE DOES NOT APPLY IF YOU ARE A BUSINESS CUSTOMER.
The consumer has a period of two years from delivery of the goods to invoke the statutory warranty of conformity in the event of a lack of conformity. During this period, the consumer is required to establish only the existence of the lack of conformity and not the date on which it arose.
Where the contract for the sale of goods provides for the continuous supply of digital content or a digital service for a period exceeding two years, the statutory warranty applies to such digital content or digital service throughout the scheduled supply period. During this period, the consumer is required to establish only the existence of the lack of conformity affecting the digital content or digital service and not the date on which it arose.
The statutory warranty of conformity requires the professional, where applicable, to provide all updates necessary to maintain the conformity of the goods.
The statutory warranty of conformity entitles the consumer to the repair or replacement of the goods within thirty days of their request, free of charge and without major inconvenience to the consumer.
If the goods are repaired under the statutory warranty of conformity, the consumer benefits from a six-month extension of the original warranty.
If the consumer requests repair of the goods but the seller requires replacement, the statutory warranty of conformity is renewed for a period of two years from the date on which the replacement goods are delivered.
The consumer may obtain a reduction in the purchase price while keeping the goods or terminate the contract and obtain a full refund in exchange for returning the goods if:
- The professional refuses to repair or replace the goods;
- The repair or replacement of the goods takes place more than thirty days after the request;
- The repair or replacement causes major inconvenience to the consumer, particularly where the consumer permanently bears the cost of recovering or removing the non-conforming goods, or bears the installation costs of the repaired or replacement goods;
- The lack of conformity persists despite the seller's unsuccessful attempt to bring the goods into conformity.
The consumer is also entitled to a reduction in the price of the goods or termination of the contract where the lack of conformity is sufficiently serious to justify an immediate price reduction or termination of the contract. In such circumstances, the consumer is not required to request repair or replacement of the goods beforehand.
The consumer is not entitled to terminate the sale if the lack of conformity is minor.
Any period during which the goods are unavailable for the purpose of repair or replacement suspends the remaining warranty period until the repaired goods are returned to the consumer.
The rights referred to above result from the application of Articles L. 217-1 to L. 217-32 of the French Consumer Code.
A seller who, in bad faith, obstructs the implementation of the statutory warranty of conformity may incur a civil fine of up to €300,000, which may be increased to up to 10% of average annual turnover (Article L. 241-5 of the French Consumer Code).
The consumer also benefits from the statutory warranty against hidden defects pursuant to Articles 1641 to 1649 of the French Civil Code, for a period of two years from discovery of the defect. This warranty entitles the consumer to a price reduction if the goods are retained or a full refund in exchange for returning the goods.
If the product you purchased has a defect, please inform us by email or post. You must describe the defect you have identified as accurately as possible and provide us with all evidence that enables us to establish the existence of the defect (for example, photographs). You must also provide proof that you purchased the product from us (for example, an invoice).
For products purchased on our website (excluding pre-assembled or custom-built simulators), we will send you a return label to use when returning the product. Please ensure that you use suitable packaging to prevent the product from being damaged during transport.
For our pre-assembled and custom-built simulators, we will contact you to determine the exact arrangements for implementing the warranty, depending on whether the product needs to be repaired or replaced.
11. Commercial Warranty
We offer a commercial warranty on certain products and on our custom-built simulators. The existence and terms of any commercial warranty are specified on the relevant product page and, for custom-built simulators, in the commercial warranty agreement provided with the quotation.
Regardless of the commercial warranty, we remain bound by our obligations under the statutory warranty of conformity provided for in Articles L. 217-1 to L. 217-32 of the French Consumer Code and the statutory warranty against hidden defects provided for in Articles 1641 to 1649 of the French Civil Code (see Article 10 “Statutory Warranties”). The commercial warranty agreement applies in addition to these statutory warranties.
12. Our Liability
12.1. General provisions
We cannot be held liable if the damage is entirely caused by your negligence or fault, by the unforeseeable and unavoidable act of a third party, or by force majeure. Force majeure means any external, unforeseeable and unavoidable event within the meaning of Article 1218 of the French Civil Code and as defined by case law.
Please note that access to our website may be temporarily interrupted for maintenance or updates. You will be informed by a notification on our homepage. You are responsible for all costs associated with purchasing, installing, maintaining and connecting the telecommunications equipment required to access our website.
12.2. Limitation of liability
THIS ARTICLE DOES NOT APPLY IF YOU ARE A CONSUMER.
We shall not be held liable, and all warranties are excluded, for any direct or indirect damage affecting property or persons suffered by you or a third party resulting from any of the following:
- any error or omission in your order for which you are responsible;
- any installation of our products under non-compliant conditions, including any assembly, fitting or installation error, except where installation is carried out by us;
- any modification or repair of our products by you or a third party, even where we have given our prior consent;
- any use of our products under non-compliant conditions, including failure to follow usage instructions or basic safety rules;
- failure to maintain or monitor our products, or inappropriate storage of our products, once the risk of loss or damage has transferred to you.
We shall not be liable for indirect damages, including loss of earnings, loss of turnover, loss of profits, business interruption, loss of production, loss of opportunities or damage to image or reputation.
In all circumstances, our liability shall be limited to the total amount excluding VAT that you have paid and shall not cover transport costs or any applicable customs duties or import taxes.
13. Miscellaneous
13.1. Evidence
Our computerised records may be produced as evidence of communications, payments and transactions between you and us.
You agree to receive our invoices electronically.
You agree to enter into the contract electronically. You and we acknowledge that an electronic signature has the same legal value as a handwritten signature.
IF YOU ARE A CONSUMER: We retain any contract concluded electronically for an amount equal to or greater than €120.00 (ONE HUNDRED AND TWENTY EUROS) for ten (10) years, in accordance with Article L. 213-1 of the French Consumer Code. You may request a copy from us at any time.
13.2. No waiver
If either you or we fail to raise a breach by the other party of its contractual or legal obligations, this does not mean that either party waives the right to raise such a breach in the future.
13.3. Language of the contract
The French version of our Terms and Conditions of Sale is authoritative and shall prevail over any version prepared in a language other than French, particularly in the event of any contradiction or difference in interpretation. Any version of our Terms and Conditions of Sale provided in a language other than French is provided for information purposes only.
14. Complaints and Mediation
For any complaint, you may contact us by post or email. If you do not receive a response from us within seven (7) business days (meaning every day of the week except Saturdays, Sundays and public holidays or non-working days), you should consider that we have rejected your complaint.
15. Consumer Mediation
THIS ARTICLE APPLIES ONLY IF YOU ARE A CONSUMER.
In accordance with Articles L. 612-1 et seq. of the French Consumer Code, you may refer your dispute free of charge to the consumer mediator to which we belong, the Centre de la Médiation de la Consommation de Conciliateurs de Justice:
- by post: 49 rue de Ponthieu, 75008 Paris, France
- by email: cm2c@cm2c.net
- by completing the online referral form: https://www.cm2c.net/declarer-un-litige.php
Please note that a dispute cannot be examined by the consumer mediator if:
- you cannot demonstrate that you first attempted to resolve the dispute directly with us by submitting a written complaint before referring the matter to the mediator;
- your request is manifestly unfounded or abusive;
- the dispute has already been examined or is currently being examined by another mediator or a court;
- you referred the matter to the mediator more than one (1) year after submitting a written complaint to us;
- the dispute does not fall within the mediator's area of competence.
Use of the consumer mediator is not mandatory.
16. Applicable Law
Our Terms and Conditions of Sale (and any contract governed by them) are governed by French law.
If you are a consumer, this choice of law does not deprive you of the protection afforded by the mandatory provisions of the law of the country in which you have your habitual residence (Regulation (EC) No 593/2008, Article 6(2)).
17. Jurisdiction
THIS ARTICLE DOES NOT APPLY IF YOU ARE A CONSUMER.
All disputes relating to the formation or performance of our Terms and Conditions of Sale and any contract governed by them shall fall within the exclusive jurisdiction of the French courts and, more specifically, the Commercial Court of Tarascon, France, including in the event of multiple defendants, third-party proceedings, warranty claims or summary proceedings.
